These Terms of Service ("Terms") govern your access to and use of Brunchie — a web application and related iOS and Android apps for coordinating real-world events such as guest lists, RSVPs, polls, itineraries, expense splitting, seating, photo sharing, and group messaging (the "Service"). The Service is operated by the Brunchie team, a Canadian-based company ("Brunchie," "we," "us"). Please read these Terms carefully alongside our Privacy Policy and SMS Terms & Consent.

Acceptance of Terms

By creating an account, clicking to accept, or otherwise accessing or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation. If you do not agree to these Terms, do not use the Service.

Eligibility and Accounts

You must be at least 13 years old to use the Service, and old enough to form a binding contract in your jurisdiction. The Service is not directed to children under 13. You are responsible for the information associated with your account and for activity that occurs under it. Because Brunchie uses passwordless authentication, you are responsible for keeping your email account, phone, passkeys, and any single sign-on credentials secure, and for notifying us promptly of any unauthorised use.

Licence to Use the Service

Subject to these Terms, Brunchie grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your own event-coordination purposes, including organising events and inviting guests. This licence does not permit you to resell the Service, or to copy, modify, reverse engineer, or create derivative works of the Service except as permitted by law.

Acceptable Use

You agree not to:

  • Use the Service for any unlawful, fraudulent, or harmful purpose.
  • Upload or share content that is illegal, infringing, harassing, hateful, or violates the rights of others.
  • Attempt to gain unauthorised access to the Service, other accounts, or our systems, or interfere with or disrupt the Service.
  • Send spam or unsolicited messages, or misuse messaging, RSVP, or photo features.
  • Scrape, harvest, or collect data from the Service except as expressly permitted.

We may remove content or suspend accounts that violate these rules.

User Content

You retain ownership of the content you create or upload to the Service — your events, expenses, polls, photos, videos, guestbook messages, comments, and other event data ("User Content"). You grant Brunchie a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, display, and transmit your User Content solely as needed to operate and provide the Service to you and the guests and participants you share it with. You are responsible for your User Content and for having the rights necessary to share it.

Content Standards, Reporting, and Moderation

Brunchie lets people share user content (including photos, videos, guestbook entries, and comments) with the other guests of an event. To keep the Service safe, the following applies:

  • Content standards. You may not post content that is illegal, infringing, sexually explicit, harassing, hateful, threatening, or otherwise objectionable, or that violates the Acceptable Use rules above. There is no tolerance for objectionable content or abusive behaviour.
  • Reporting and blocking. You can report objectionable content or abusive users from within the Service, or by emailing support@brunchie.app. Event organisers can remove content and remove or block participants in events they control.
  • Our moderation rights. We may review, moderate, refuse, or remove any User Content, and may suspend, block, or terminate users, at our discretion — including acting promptly on reports of objectionable content or abusive users. We are not obligated to monitor User Content, but we may do so. We are not responsible for User Content created by users, which does not reflect our views.

Guest Access

Guests can RSVP, vote in polls, and view event details through a shared link without creating an account. If you share an event link, you are responsible for who you share it with and for the participation it enables. Guests using the Service in this way also agree to these Terms to the extent they apply to that participation.

Brunchie Intellectual Property

The Service, including its software, design, branding, and the Brunchie name and logo, is owned by Brunchie and protected by intellectual property laws. Except for the limited licence granted to you above, these Terms do not transfer any of our rights to you. You may not use our branding without our prior written permission.

Payments

Brunchie is free for every guest, with no cap and no hidden fees. Hosts may choose to use certain paid features, which are processed through our third-party payment processor, Stripe. If you use a paid feature, you authorise us and Stripe to charge the payment method you provide for the applicable amounts, and you agree to Stripe's terms in addition to these Terms. Taxes may apply. We are not responsible for errors by your payment provider.

Expense Calculations and Financial Accuracy

Brunchie provides expense splitting, debt simplification, and settlement tracking as convenience tools only. All calculations — including shared expense amounts, currency conversions, and simplified debt suggestions — are estimates and may not reflect the exact amounts you owe or are owed. Currency conversion rates are approximations and may differ from actual exchange rates. Brunchie is not a financial institution, payment processor, or accounting service. Users are solely responsible for verifying all amounts, confirming payments independently, and resolving any discrepancies directly with the other party. Brunchie makes no warranty that calculations are accurate, complete, or current.

Disclaimer of Warranties

The Service is provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any content or calculation is accurate or reliable. Some jurisdictions do not allow the exclusion of certain warranties, so some of these exclusions may not apply to you.

Limitation of Liability

To the maximum extent permitted by law, Brunchie and its operators will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, goodwill, or other intangible losses, arising out of or related to your use of (or inability to use) the Service.

In particular, and without limiting the foregoing, Brunchie will not be liable for any financial losses resulting from incorrect expense calculations, currency conversion errors, inaccurate debt simplification, payment disputes between users, or reliance on any amounts displayed in the expense splitting or settlement features. Your use of expense tracking and settlement features is entirely at your own risk.

To the maximum extent permitted by law, our total aggregate liability for any claims arising out of or relating to the Service or these Terms will not exceed the greater of (a) the amounts you paid to Brunchie in the twelve months before the event giving rise to the claim, or (b) CAD $100. Some jurisdictions do not allow certain limitations of liability, so some of these limitations may not apply to you.

Indemnification

You agree to indemnify and hold harmless Brunchie and its operators from and against any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your User Content, your use of the Service, your violation of these Terms, or your violation of any law or the rights of a third party.

Termination and Suspension

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you violate these Terms, if required by law, or to protect the Service or other users. On termination, the licences granted to you end; sections that by their nature should survive (such as User Content licences needed to operate shared events, disclaimers, limitation of liability, and indemnification) will survive.

Dispute Resolution

Informal resolution first. Before bringing a formal claim, you agree to contact us at support@brunchie.app and try to resolve the dispute informally. Most concerns can be resolved this way.

Arbitration and class-action waiver. If we cannot resolve a dispute informally, you and Brunchie agree that disputes will be resolved through binding arbitration on an individual basis, rather than in court, except where prohibited by law. To the extent permitted by applicable law, you and Brunchie waive any right to participate in a class, collective, or representative action. This framework does not prevent either party from seeking relief in small-claims court where available, or injunctive relief to protect intellectual property. Nothing in this section limits any non-waivable rights you have under the consumer-protection laws of your jurisdiction.

Governing Law

These Terms are governed by the laws of Canada and the province in which Brunchie operates, without regard to conflict-of-laws principles, except where mandatory local laws of your place of residence apply.

Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date above and provide reasonable notice, such as by posting the revised Terms or notifying you in the Service. Your continued use of the Service after the changes take effect means you accept the revised Terms.

Severability, Entire Agreement, and Assignment

If any part of these Terms is found unenforceable, the rest remains in effect. These Terms, together with the Privacy Policy and SMS Terms & Consent, are the entire agreement between you and Brunchie regarding the Service. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.

Language

This document is published in English and translated into other languages for your convenience. If there is any conflict or inconsistency between the English version and a translation, the English version prevails — except where applicable law requires the local-language version to govern. In particular, for residents of Québec, Canada, the French version applies to the extent Québec law requires.
